About These Terms
These Terms of Service ("Terms") govern your access to and use of software products and services provided by Click Limited ("Click," "we," "our," or "us"). Your use of Click is governed by these Terms and our Privacy Policy. While these Terms form the contract for our service, our Privacy Policy describes how we handle your personal data. These are separate documents
These Terms apply to all users of Click's platform, including institutional administrators, staff members, and any individual granted access by a subscribing institution ("Customer").
If you are using Click on behalf of an institution, you represent that you have the authority to bind that institution to these Terms. Your institution is the contracting party, and individual users access the platform under the institution's agreement.
Acceptable Use Policy
This Acceptable Use Policy sets out the rules for using Click's platform. It applies to all users — including institutional administrators, staff, students, and parents. By using Click's products, you agree to comply with this policy.
Permitted Use
Click's products are licensed for use by educational institutions for legitimate institutional operations. Permitted uses include managing student records, processing payroll, administering assessments, tracking fees, managing inventory, and communicating with institutional stakeholders within the scope of the subscribing institution's operations.
Users accessing Click from personal devices are responsible for ensuring those devices have up-to-date security (passwords or biometrics) to prevent unauthorised access to institutional data.
Prohibited Conduct
Users must not use Click's platform to engage in any of the following:
Unauthorised Access: Access, alter, or delete data belonging to another institution or individual without authorisation.
Cyberbullying: Use communication tools to bully, harass, or send offensive messages (Section 24, Cybercrimes Act).
Fraudulent Data: Intentionally input false or misleading information, including falsified student or financial records.
Reverse Engineering: Attempt to reverse-engineer, decompile, or extract source code from Click's software.
System Interference: Introduce malicious code, viruses, or use automated scripts or bots to crawl the platform.
Security Bypassing: Attempt to circumvent authentication or share login credentials with unauthorised individuals.
Illegal Content: Store or process content that is illegal under Nigerian law, including child-restricted or defamatory materials.
Consequences of Breach: Click reserves the right to suspend or permanently terminate access for any user or institution found to be in breach of this policy, without prior notice where the breach is serious. Breaches may also be reported to relevant regulatory or law enforcement authorities where required by law.
Reporting Violations: If you become aware of a violation of this policy — including by another user of your institution — please report it promptly to privacy@getclickapps.com. Reports will be treated confidentially where possible.
Access and User Accounts
Access to Click products is granted to institutions that have entered into a valid subscription agreement. Individual user accounts are created and managed by the subscribing institution's administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.
You must not share your account credentials with any other person.
You must notify your institution's administrator immediately if you suspect unauthorised access to your account.
Click reserves the right to suspend or terminate accounts that are found to be in breach of these Terms.
Users must be 18 years of age or older to hold an administrative account. Student and parent accounts may be created for users under 18 at the discretion of the institution.
Data Protection & Minor Safety
Parental Consent & Age Verification: To assist the Customer in meeting its obligations under Section 31 of the NDPA 2023, Click provides integrated digital tools to obtain and record verifiable parental or guardian consent. The Customer is responsible for using these tools (or an equivalent verifiable method) to confirm that a student is a minor and that legal consent has been granted before their data is processed on the platform
Payment Terms
Subscription fees are agreed between Click and the subscribing institution at the time of contract. Invoices are issued monthly or annually, as agreed. Payment is due within 30 days of the invoice date unless otherwise specified in the contract.
Click reserves the right to suspend access to the platform if payment is not received within 45 days of the invoice due date. Click will provide written notice at least 7 days prior to any suspension. All fees are exclusive of applicable taxes. Institutions are responsible for any applicable value-added tax or similar charges.
Intellectual Property
All software, designs, algorithms, interfaces, and documentation comprising Click's products are the exclusive intellectual property of Click Limited. Nothing in these Terms transfers any ownership of Click's intellectual property to the Customer or any user.
All institutional data entered into or generated by Click's platform — including student records, financial records, staff records, and assessment data — is owned by the subscribing institution. Click holds and processes this data only as directed by the institution and in accordance with the Privacy Policy and the applicable data processing agreement.
These Terms, together with our Privacy Policy and Data Protection measures, constitute the binding Data Processing Agreement between Click and the Customer as required by the NDPA 2023.
Limitation of Liability
To the maximum extent permitted by applicable Nigerian law and without prejudice to statutory regulatory penalties, Click's total liability to a Customer for any claims arising from or related to these Terms or the use of Click's products shall not exceed the total fees paid by that Customer in the 12 months preceding the claim..
Click is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, even if Click has been advised of the possibility of such damages.
Click's products are tools to support institutional operations. They do not replace professional judgement. Click is not liable for decisions made by institutions or their staff based on data or reports generated by Click's platform.
Termination
Either party may terminate the subscription agreement by providing 30 days' written notice. Upon termination, the institution's access to the platform will be discontinued at the end of the notice period. Click will make institutional data available for export in a structured, machine-readable format (e.g., CSV) for a period of 90 days following termination, after which it will be securely deleted in accordance with Click's data retention policy.
Click may terminate or suspend access immediately, without notice, where there is evidence of: serious breach of these Terms, fraudulent use of the platform, or conduct that poses a security risk to Click's systems or other customers.
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria. Click and the Customer agree to attempt to resolve any dispute through good-faith negotiation before commencing formal proceedings.
Click reserves the right to modify these Terms at any time. Customers will be notified of material changes via email at least 30 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
